Directors' emoluments in 2008

The aggregate remuneration, excluding pension contributions and the value of shares under option and shares subject to performance share plan awards, paid to or accrued for all Directors of the Company for services in all capacities during the year ended 31 December 2008 was £5.9m ($11.1m). The remuneration of individual Directors is set out below in sterling and US dollars. All salaries, fees, bonuses and other benefits for Directors are established in sterling.

1These figures represent that portion of the 2008 bonuses required to be deferred into shares to be held for a three-year period, as explained in the Bonus Share Deferral Requirements section.

2Fees applicable to all Non-Executive Directors increased during the year, effective from the AGM on 24 April 2008. The revised fees are set out on the Non-Executive Directors’ Fees table.

3Relates to relocation allowances, a car allowance and cash payments in respect of dividends accrued on vesting of a 2005 US performance share plan award.

In the tables above, salaries have been converted between sterling and US dollars at the average exchange rate for the year in question. These rates were:

The Executive Directors were also granted options to subscribe for Ordinary Shares and awards of Ordinary Shares under the Company’s long-term incentive arrangements (the AstraZeneca Share Option Plan and the AstraZeneca Performance Share Plan). No Director has a family relationship with any other Director.
